Job Description:

The HR Mergers & Acquisitions team is responsible for project managing all HR aspects of the end-to-end M&A process for acquisition, divestiture, joint venture, and investment initiatives globally and across the entire company. This includes HR due diligence and integration planning for acquisitions, integration execution for acquired companies, and HR structuring and preparation for divestments. The HR M&A team works on transactions that are high intensity and high impact, directly tied to the business strategy, and are visible to senior business and HR leadership. This is an opportunity to work in an environment that is collaborative, engaging, high energy, flexible, and with a focus on both team and individual growth and development. The key responsibilities of the team are:
  • Managing the HR aspects throughout the deal cycle, from pre-diligence through integration at American Express
  • Understanding the deal structure, timing, and process as laid out by the corporate and/or business development teams and translating these requirements into project plans for the HR team
  • Contributing to deal strategy and structuring and representing the HR PoV in cross-functional meetings and deal negotiations
  • Designing the HR integration strategy and plan for Day 1 readiness and longer term assimilation
  • Implementation of integration plan and establishment of governance process to ensure a successful transition to ongoing operations
  • Assembling the appropriate HR team with delegates from various functions: compensation, benefits, employment law (internal and external), employee relations, global mobility, and HR business partners from the business and appropriate geographies
  • Collaborating with cross-functional M&A team members (e.g., tax, accounting, technology, legal, etc.)
  • Building HR M&A capability and continuously improving HR M&A infrastructure, tools, and processes at American Express
  • Participation in external M&A networks, forums, and conferences
Job responsibilities: Specifically, the Director, HR Mergers & Acquisitions will focus primarily on the due diligence and deal structuring aspects of transactions and be responsible for:
  • Providing project management leadership on multiple concurrent due diligence efforts
  • Conducting HR due diligence for prospective investments, acquisitions, and joint ventures (and project managing HR SMEs when needed)
  • Synthesizing and presenting HR diligence findings and recommendations to HR leadership, the broader deal team, and Amex leadership
  • Reviewing and providing input to draft legal agreements and ensuring that the HR agreements and structures are appropriately reflected in the final legal agreements
  • Working with Corporate Development, Business Units, and the broader HR team to develop project plans and track progress against plans
  • Identifying, escalating, and monitoring risks and issues across transactions
  • Working with the HR M&A team to identify lessons learned and process improvements to support continuous improvement and innovation
  • Leading capability building efforts by designing an overall strategy for HR and business capability development on an annual basis, and taking ownership of delivery of specific sections of the strategy
  • Working with the VP, HR M&A on discrete capability development projects related to due diligence and integration capabilities (e.g., management assessment, executive transition, and on-boarding)

Job Requirements:

Candidate desired skills and qualifications:
  • 6-8+ years Corporate HR or HR consulting experience with some experience in M&A (diligence and/or integration)
  • Experience working internationally and in virtual teams
  • Complex program management skills
  • Strong relationship skills
  • Experience in one or more of the following HR specialties: benefits, compensation, employment law, organization design, HR integration
  • Comfortable working in an environment with tight deadlines, imperfect information, and ambiguity
  • Ability to absorb and process large quantities of disparate information and synthesize quickly
  • Proficient in PowerPoint, Word, and Excel
  • Strong executive presence, influencing skills, and effective communicator
  • Ability to work both independently and in a team environment (team player)
  • Interest or experience working with legal documents
Educational requirement:
  • Bachelor's degree in a related field
